Terms of Service - CloseChat AI Assistant
Last Updated: July 16, 2026
Scope
These Terms of Service ("Terms") govern your use of the CloseChat AI Assistant Chrome Extension, its Backend, and its Admin service (together, "CloseChat"). CloseChat is an independent product and is not affiliated with WhatsApp or Meta. By installing or using CloseChat, you agree to these Terms. See the Privacy Policy for how your data is handled.
The Service
CloseChat is a paid productivity tool that runs inside your own browser session on WhatsApp Web. It reads visible chat content to help you draft replies, summarize conversations, track leads, and manage follow-ups, using your own OpenAI API key that you configure yourself. CloseChat does not send or read messages on your behalf without your action — every AI-generated draft requires your review before you send it.
Your Account
- You are responsible for keeping your account credentials, API keys, and any temporary passwords issued to you confidential.
- You must be legally permitted to use WhatsApp and to process the contact data you handle through CloseChat in your jurisdiction.
- One account is for one person or one authorized business user. Do not share login credentials across unrelated users.
Subscription and Billing
- Paid features require an active subscription. Pricing and billing cycle are shown at checkout.
- Subscriptions renew automatically unless cancelled before the renewal date. You can cancel at any time; access continues until the end of the current paid period.
- Refunds, if any, are handled case-by-case through the support contact associated with your subscription — this section is not a guarantee of refund eligibility.
Acceptable Use
You agree not to:
- Use CloseChat to send unsolicited bulk messages, spam, or content that violates WhatsApp's own Terms of Service or Acceptable Use Policy.
- Attempt to circumvent CloseChat's subscription enforcement, rate limits, or account controls.
- Use CloseChat to harass, deceive, defraud, or impersonate another person.
- Reverse-engineer, decompile, or attempt to extract the Extension's non-public source beyond what browser developer tools normally expose for any installed extension.
Proprietary Prompts and Confidentiality (DS-2b)
CloseChat's AI-generated outputs (drafts, summaries, suggestions produced for your own use) belong to you. However, the underlying prompt templates, prompt-assembly logic, and any server-delivered prompt configuration that CloseChat uses to produce those outputs are CloseChat's proprietary and confidential material.
You agree not to:
- Extract, scrape, or systematically collect CloseChat's prompt templates or prompt-assembly logic, whether from the Extension's installed files, from network requests, or from any remote configuration CloseChat delivers to your installation.
- Reverse-engineer CloseChat's prompt engineering for the purpose of building a competing product or redistributing it to others.
- Publish, resell, or share extracted prompt material.
We acknowledge a practical limit here, in the same spirit as our Privacy Policy's own honesty about technical limits: a technically sophisticated user can observe the requests the Extension sends in their own browser's network traffic, because AI requests are relayed through the CloseChat Backend using your own OpenAI API key. This clause does not claim to make that technically impossible — it establishes that doing so, and acting on it beyond your own personal use (extracting, publishing, or redistributing), is a violation of these Terms and grounds for account termination.
Disclaimers
- AI-generated content may be inaccurate, incomplete, or inappropriate for your situation. You are responsible for reviewing every draft before sending it — CloseChat does not send messages automatically except where you have explicitly enabled an auto-insert feature, which still requires you to press send yourself.
- CloseChat is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.
- CloseChat is not responsible for the content, accuracy, or policies of the third-party AI provider you use (OpenAI) — see the Privacy Policy's Third-Party Processing section.
Limitation of Liability
To the maximum extent permitted by law, CloseChat and its operator are not liable for indirect, incidental, special, or consequential damages arising from your use of the service, including business losses, lost messages, or account suspension by WhatsApp/Meta resulting from your own use of the Extension. This limitation does not apply where prohibited by applicable law.
Termination
- You may stop using CloseChat and cancel your subscription at any time.
- We may suspend or terminate accounts that violate these Terms, including the prompt-confidentiality clause above, abusive use, or non-payment, after reasonable notice where practical (immediate termination may apply for severe violations such as extraction/redistribution of proprietary prompt material or abuse that risks other users' accounts).
Changes to These Terms
Material changes will be communicated through an in-product or account communication channel, consistent with the Privacy Policy's own change-notification approach. The date at the top identifies the current revision.
Governing Law
These Terms are governed by the laws of Malaysia, without regard to conflict-of-law principles. Disputes arising from these Terms are subject to the jurisdiction of the courts of Malaysia.
Contact
For questions about these Terms, use the CloseChat support contact included with your subscription or purchase receipt.
This document describes the current product and is not legal advice. The operator should obtain jurisdiction-specific legal review before publication, consistent with the same caveat in the Privacy Policy.
